Terms of Use

In short: Agent Clan is yours to use on your own computers. What you and your agents make belongs to you. The AI tools you connect have their own terms and fees, and you decide what your agents may do.

1. About these terms

These terms are between you and [Your name] (“we”), an individual developer based in Taiwan. They cover the Agent Clan desktop app, your Agent Clan account and this website. By making an account or using Agent Clan, you agree to them. If you use Agent Clan for a company, you agree for that company too.

2. Your account

  • You need to be at least 13 and old enough to agree to these terms where you live, or have a parent’s or guardian’s permission.
  • Use an email address that is yours, and keep your password safe. One account is for one person.
  • Tell us right away if you think someone else is using your account.

3. Free and Pro

  • Free includes 1 project with up to 2 agents.
  • Pro is a one-time purchase, not a subscription. Projects: Unlimited, with up to 6 agents each, on up to 2 computers at a time. You can remove a computer from your account to use another.
  • Pro includes the updates we release within 1 year of your purchase. The versions you got in that time keep working after it ends.
  • Agent Clan needs an internet connection, and it checks your account each time it opens.

4. Your license

We give you a personal, non-exclusive, non-transferable license to install and use Agent Clan, for personal or work use, under these terms. Agent Clan itself, its characters, rooms, artwork, sounds, name and logo stay ours.

5. What you make is yours

Your projects, prompts and code, what your agents produce, and the mods you or your agents write belong to you. You’re welcome to share screenshots and recordings of your Agent Clan screen, including online.

6. AI tools and other services

Agent Clan starts tools such as Claude Code and Codex, which you install and sign in to yourself. Your use of them is governed by their providers’ terms, and their usage fees are between you and those providers. We don’t control those services and can’t promise they will always be available. Claude Code, Codex and other product names belong to their owners.

7. Your agents work on your computer

Agents run commands and change files on your computer with your permissions. AI can make mistakes. Read what an agent asks before you allow it, and keep backups of work that matters, for example with git. You are responsible for what you allow your agents to do, and for the AI usage they cost you.

8. Workshop mods

Mods are small programs your agents write to change Agent Clan. They run on your computer like the agents do. Only add mods you trust, especially ones from other people. An update to Agent Clan may stop a mod from working, and Agent Clan may turn off a mod that makes it stop responding.

9. What you may not do

  • Share, sell or publish your account or license key, or let others use your Pro beyond your own computers.
  • Get around the license check or the plan limits.
  • Reverse engineer Agent Clan, except where the law allows it.
  • Use Agent Clan to break the law, to harm others or their rights, or to break the terms of the AI services you use.
  • Attack, overload or misuse our services.

10. Payment, taxes and refunds

Lemon Squeezy sells Agent Clan Pro as the merchant of record, and its terms apply to checkout. Taxes are shown at checkout. Refunds follow our refund policy. When a purchase is refunded or charged back, Pro ends on that account.

11. Suspension and ending

You can stop using Agent Clan and delete your account at any time. We may suspend or close an account that seriously breaks these terms, for example by sharing a license key; where we can, we’ll tell you why first. If we ever stop offering Agent Clan, we’ll tell you at least 30 days ahead.

12. No warranty

Agent Clan is provided “as is”. As far as the law allows, we don’t promise it will run without interruption or errors, or that what AI agents produce will be correct. Nothing here takes away rights you have as a consumer that the law says can’t be waived.

13. Limits on liability

As far as the law allows, we are not liable for indirect or consequential losses, lost data or lost profits, and our total liability is limited to what you paid us for Agent Clan in the 12 months before the claim. This does not limit liability for intent or gross negligence, or anything else the law doesn’t allow us to limit.

14. Changes

We may update these terms. We’ll change the date at the top, and for important changes tell you in the app or by email at least 14 days before they apply. If you don’t agree, stop using Agent Clan; if you are still within the refund period, you can ask for a refund.

15. Law and disputes

These terms are governed by the laws of Taiwan (Republic of China), and the Taiwan Taipei District Court is the court of first instance. If you are a consumer living elsewhere, you keep the protection of your local laws that can’t be changed by agreement, and you may bring a claim in your local courts where the law allows.

簡單說：Agent Clan 讓你在自己的電腦上使用。你和你的 agent 做出來的東西都屬於你。你接上的 AI 工具有它們自己的條款和費用，agent 可以做什麼由你決定。

1. 關於這份條款

這份條款是你和在台灣的個人開發者〔你的名字〕（以下稱「我們」）之間的約定，適用於 Agent Clan 桌面 App、你的 Agent Clan 帳號和這個網站。你建立帳號或使用 Agent Clan，就表示同意這份條款。如果你是為公司使用，也代表該公司同意。

2. 你的帳號

  • 你必須年滿 13 歲，並達到你所在地法律可以自行同意本條款的年齡；未達者需經法定代理人同意。
  • 請使用屬於你自己的 email，並保管好密碼。一個帳號只給一個人使用。
  • 如果發現有人盜用你的帳號，請立刻通知我們。

3. 免費版和付費版

  • 免費版：1 個專案，最多 2 個 agent。
  • 付費版：一次買斷，不是訂閱。專案數不限，每個專案最多 6 個 agent，同時最多用在 2 台電腦。你可以從帳號移除一台電腦，換到另一台使用。
  • 付費版包含購買後 1 年內推出的更新。這段期間拿到的版本，期滿後仍可繼續使用。
  • Agent Clan 需要連上網路，每次打開時會確認你的帳號。

4. 使用授權

我們依這份條款，授予你個人、非專屬、不可轉讓的授權，讓你安裝和使用 Agent Clan，個人或工作用途都可以。Agent Clan 本身，以及它的角色、場景、美術、音效、名稱和標誌，權利仍屬於我們。

5. 你做的東西屬於你

你的專案、提示詞和程式碼、agent 產出的內容，以及你或你的 agent 寫的模組，都屬於你。歡迎你分享 Agent Clan 畫面的截圖和錄影，包括放到網路上。

6. AI 工具和其他服務

Agent Clan 會啟動 Claude Code、Codex 等工具，這些工具由你自己安裝和登入。你使用它們時適用各服務商的條款，使用費用由你和服務商之間處理。我們無法控制這些服務，也無法保證它們隨時可用。Claude Code、Codex 及其他產品名稱屬於各自的權利人。

7. agent 在你的電腦上工作

agent 會以你的權限在你的電腦上執行指令、修改檔案。AI 可能出錯。允許 agent 做事之前請先看清楚它要做什麼，重要的工作請做好備份（例如用 git）。你允許 agent 做的事，以及 agent 用掉的 AI 費用，由你負責。

8. 工坊模組

模組是你的 agent 為了改變 Agent Clan 而寫的小程式，跟 agent 一樣在你的電腦上執行。請只加入你信任的模組，尤其是別人做的。Agent Clan 更新後，某些模組可能無法再運作；模組讓 Agent Clan 沒有回應時，Agent Clan 可能會把它關掉。

9. 禁止的行為

  • 分享、出售或公開你的帳號或序號，或讓別人在你自己的電腦以外使用你的付費版。
  • 繞過授權檢查或方案限制。
  • 對 Agent Clan 進行還原工程，但法律允許的情形除外。
  • 用 Agent Clan 違反法律、傷害他人或侵害他人權利，或違反你使用的 AI 服務的條款。
  • 攻擊、癱瘓或濫用我們的服務。

10. 付款、稅金和退款

Agent Clan 付費版由 Lemon Squeezy 以代理銷售商（merchant of record）的身分銷售，結帳適用它的條款。稅金會在結帳時顯示。退款依我們的退款政策辦理。購買經退款或刷卡爭議退回後，該帳號的付費版就會結束。

11. 停權和終止

你隨時可以停止使用 Agent Clan 並刪除帳號。帳號嚴重違反這份條款時（例如分享序號），我們可以暫停或關閉該帳號；可以的話，我們會先告訴你原因。如果我們決定不再提供 Agent Clan，會至少提前 30 天通知你。

12. 不保證事項

Agent Clan 依現況提供。在法律允許的範圍內，我們不保證它不會中斷或沒有錯誤，也不保證 AI agent 產出的內容正確。這份條款不影響你身為消費者依法不能拋棄的權利。

13. 責任限制

在法律允許的範圍內，我們不對間接或衍生的損失、資料遺失或利潤損失負責；我們的總賠償責任以你在求償前 12 個月內為 Agent Clan 付給我們的金額為限。我們因故意或重大過失造成的責任，以及其他法律不允許限制的責任，不在此限。

14. 條款更新

我們可能會更新這份條款。更新時會改最上面的日期；重要的更動，會在生效前至少 14 天透過 App 或 email 通知你。如果你不同意，請停止使用 Agent Clan；還在退款期限內的話，可以申請退款。

15. 準據法和管轄

這份條款以中華民國（台灣）法律為準據法，並以臺灣臺北地方法院為第一審管轄法院。如果你是住在其他國家或地區的消費者，你仍享有當地不能以約定排除的法律保護，並可在法律允許時向當地法院提出請求。
